General provisions
These Terms and Conditions (hereinafter: the "Terms") set out the rules for participation in the Sellizer Partner Program (hereinafter: the "Program"), operated by Sellizer Sp. z o.o. with its registered office in Rzeszów at ul. Juliusza Słowackiego 24/41, 35-060 Rzeszów, entered into the Register of Entrepreneurs kept by the District Court in Rzeszów, 12th Commercial Division of the National Court Register, under KRS number 0000751840, NIP: 5170395135, hereinafter referred to as the "Organizer".
The Program is addressed to legal persons or natural persons conducting business activity who are interested in recommending the Sellizer service to their clients, contacts and audiences.
Completing the registration form available at https://www.sellizer.com/partnership-program and accepting these Terms are tantamount to concluding an agreement on participation in the Partner Program between the Partner and the Organizer.
Definitions. For the purposes of the Terms, the following definitions apply:
Application / Service - the Sellizer application available at www.sellizer.com, provided under the terms of the Application Terms of Service available at https://www.sellizer.com/terms-and-conditions.
Client - an entity that uses the paid Service.
Potential Client - an entity that has created a trial account or is in the course of commercial negotiations with the Organizer, but has not yet become a Client.
Partner - an entrepreneur who has accepted the Terms and participates in the Program.
Referral - passing on information about the Application to a Client or Potential Client, resulting in the Application beginning to be used.
Reflink - an individual referral link assigned to the Partner, serving to identify the source of the Referral.
Discount code - an individual code assigned to the Partner, serving to identify the source of the Referral and entitling the Client to a discount in the amount set by the Partner (§ 7 sec. 5).
Partner panel - the interface available in the Partner's account in the Application, containing the Reflink, the Discount code (if the Partner has chosen a commission-pool split providing for a Client Discount), the payment history of referred Clients and the total earnings.
Remuneration / Commission - the amount due to the Partner for referred Clients, in accordance with § 7.
Conditions for joining the Program
Only an entity conducting business activity - a sole proprietorship or a company - may participate in the Program.
The conditions for joining the Program are, jointly: a) holding an active account in the Sellizer Application (creating a free account with a 14-day trial period is sufficient - the account does not have to be paid); b) completing the registration form available at https://www.sellizer.com/partnership-program; c) accepting these Terms.
After positive verification of the application, the Organizer activates the "Partner Program" tab in the Partner's Sellizer account, in which the Partner independently: a) sets the split of the commission pool (in accordance with § 7 sec. 5); b) generates a Reflink; c) receives a Discount code (if the chosen split provides for a Client Discount); d) has access to the payment history of referred Clients and the total earnings.
Rights and obligations of the Organizer
The Organizer undertakes to provide the Partner with substantive support to the extent necessary for effectively acquiring Clients, informing them about how the Application works and supporting them in answering Potential Clients' questions.
The Organizer undertakes to inform the Partner, via the Partner panel, of registered Clients whose registration results from the Partner's Referral, and of those Clients' payments.
The Organizer is entitled to terminate the agreement in the manner and circumstances set out in § 9.
Rights and obligations of the Partner
The Partner undertakes to recommend the Application and to provide Potential Clients with additional information to the extent of the knowledge they have about the Application.
The Partner undertakes to cooperate with the Organizer to develop and improve the quality of the Service, informing the Organizer of comments and feedback received from Clients.
The Partner is entitled to terminate the agreement in the manner and circumstances set out in § 9.
Referral mechanism and attribution
The Partner conducts activities aimed at acquiring Clients as a result of a Referral. These activities may be carried out through: a) direct contact and passing on to the Potential Client a recommendation with a Reflink or Discount code; b) direct contact and passing on to the Potential Client a recommendation without a Discount code; c) training activities (e.g. sales training for a company that is a Potential Client); d) promotional, advertising or marketing activities as a result of which the Potential Client creates a trial account in the Application using the Reflink (e.g. mailings, social media posts, blog entries, video content, materials published online).
Promotional, marketing and advertising activities may not include promotion in paid advertising systems (e.g. Google Ads) on phrases containing the name "Sellizer".
Given the online model of providing the Service, the Parties undertake to make every effort to reliably and unambiguously determine which Client results from a Referral by the Partner.
The Organizer provides the Partner with tools for verifying the source of a Client's origin (Reflink, Discount code) and informs the Partner, via the Partner panel, of new Clients originating from their Referral.
Where a referred Potential Client has created a trial account and used the Partner's Discount code or Reflink, the Parties assume that the given Potential Client originates from the Partner's Referral. If their account is paid, they will be a Client attributed to the Partner.
The Organizer does not always have the ability to verify the details of the entity creating a trial account until it is paid. If the same Potential Client creates another trial account that does not originate from a Reflink and does not use a Discount code, the Organizer will consider the given Potential Client as not originating from a Referral if it is unable to confirm their identity.
Where the Partner recommends the Application to a Potential Client in the form of a direct recommendation, without using a Discount code or Reflink, the Partner undertakes to inform the Organizer of such a Referral, indicating the company name and the contact person (first name, surname, position, email address or telephone). The notification should be sent to partners@sellizer.com no later than within 5 business days of the Potential Client establishing contact with the Organizer.
A Referral made by a Client of the Organizer with respect to another entity is not treated as connected with the Partner's activity.
If the Partner fails to report a Referral within the 5-business-day period referred to in § 6 sec. 7, and it is not possible to determine the source of the Potential Client's origin using a Reflink or Discount code, the Potential Client will be considered as acquired as a result of other activities of the Organizer.
In the event of successful attribution of a Potential Client to the pool referred by the Partner as a result of a notification (in accordance with § 6 sec. 7), the given Potential Client remains attributed to the Partner for a period of 6 months. If, within this period, they do not become a Client, the Organizer is entitled to cancel the attribution. After losing the attribution, the Partner may re-report the given Potential Client, but no earlier than 30 days after the loss of the attribution.
The Organizer reserves the right not to recognize a given Client as acquired as a result of the Partner's activities in the situations set out in § 6 sec. 12. The Partner is entitled to obtain an explanation of the decision within 5 business days of it being communicated, as well as the right to submit additional explanations and justification. If, after the justification is submitted, the Organizer upholds the decision, it is final.
A Client or Potential Client will not be attributed to the Partner in the following situations: a) where the given entity is already a Client of the Organizer; b) where the given entity, at least 5 business days before the Partner reported the Referral, already had a trial account in the Application or was in the course of commercial negotiations with the Organizer within the last 6 months prior to the Referral, and the Organizer is able to demonstrate this on the basis of correspondence history; c) where the given entity is already attributed as recommended by another Partner; d) where the Referral occurred in breach of the provisions of the Terms.
In the event of doubts as to how to attribute a Potential Client - arising from Referrals made by different methods or by different Partners - the following hierarchy applies: a) first, the Referral sent by email to partners@sellizer.com, indicating detailed data of the recommended company and person (including the NIP number), is taken into account; b) second, the individual Discount code of the Partner used is taken into account; c) third, the Reflink from which the trial account was created is taken into account; d) in the event of a Referral of the same Potential Client by two different Partners using the same method, the Potential Client will be attributed to the Partner who made the notification first.
Remuneration and settlements
The Organizer pays the Partner Remuneration throughout the period described below, in an amount dependent on the number of Clients acquired and the subscription fees paid by them.
The amount of fees for using the Application results from the current price list available at www.sellizer.com. The Organizer reserves the right to change the price list, of which it will inform the Partner.
In specific cases, the price paid by the Client may differ from the price resulting from the price list (e.g. as a result of using a Discount code, extending functionality with additional solutions, or discounts for payment in advance or fixed-term agreements).
The Partner's Remuneration is calculated as a set portion of the net subscription paid by Clients acquired from the Partner's Referral. The Remuneration is due for a period of 12 (twelve) months from the day the given Client makes the first payment.
The total commission pool is 30% of the net subscription amount paid by referred Clients. In the Partner panel, the Partner independently sets how this pool will be divided between: a) Remuneration paid to the Partner, b) a Client Discount, applied on purchase using the Discount code. The split is possible in increments of 5 percentage points (example configurations: 30% / 0%, 25% / 5%, 20% / 10%, 15% / 15%). The choice of split is one-time and cannot be changed. The Partner may apply to the Organizer to generate an additional Reflink or Discount code with different parameters, reporting such a need to partners@sellizer.com - the Organizer may add them manually.
The amount of Remuneration for a given quarter is calculated on the basis of the split of the pool chosen by the Partner (§ 7 sec. 5), for all subscription inflows generated by Clients acquired by the Partner. The Terms do not cover other inflows generated by Clients, such as implementation, customization or training services carried out by the Organizer. The Partner may provide support, consulting, implementation or integration services to referred Clients on their own account.
The amounts constituting the basis for determining the amount of Remuneration are calculated as the sum of the net amounts of invoices paid by Clients originating from the Partner's Referral in a given quarter.
Payment of Remuneration takes place on the basis of a VAT invoice issued by the Partner. Settlements are made quarterly. The cumulative total of earnings from the beginning of the cooperation is visible in the Partner panel. On the 8th day after the end of the quarter, the Organizer sends the Partner a calculation of the Commission for the previous quarter together with a request to issue a VAT invoice. The invoice payment term is 14 days from its receipt by the Organizer.
If a referred Client ceases to use the Application, the Organizer is released from the obligation to pay the Partner Remuneration for that Client upon settlement of the last invoice resulting from the subscription inflows from the given Client.
Personal data
The controller of the personal data provided by the Partner in connection with participation in the Program is the Organizer. The Partner undertakes, on behalf of the Organizer, to fulfill the information obligations towards the Potential Client.
Detailed rules for processing personal data - including the purposes, legal bases, retention periods and rights of the data subjects - are set out in the Sellizer Privacy Policy available at https://www.sellizer.com/privacy-policy
The Partner undertakes to comply with the provisions of the GDPR with regard to the personal data of Potential Clients passed on to the Organizer as part of a Referral.
Termination of the agreement
Each Party has the right to terminate the agreement concluded on the basis of the Terms with one month's notice, effective at the end of the calendar month.
If one of the Parties breaches the provisions of the Terms and does not cease the breaches within 14 calendar days of receiving written notice, the Party reporting the breaches is entitled to terminate the agreement with immediate effect.
In the event of termination of the agreement, the Organizer undertakes to continue paying the commissions due for Clients acquired by the Partner during the term of the agreement, but no longer than until 12 months have elapsed from the day the given Client made the first payment.
In the event of termination of the agreement by the Organizer in the manner referred to in § 9 sec. 2, the period of continued payment of commissions after termination of the agreement will be shortened to 6 months from the day the given Client made the first payment.
The Organizer is entitled to terminate the agreement with one month's notice if, within 12 consecutive months, no new Client is acquired as a result of the Partner's activities and no subscription inflows arise from Clients previously referred by the Partner.
The agreement is automatically terminated if the Partner or the Organizer is removed from the relevant register or records, or if the process of liquidating its enterprise begins.
Amendments to the Terms
The Organizer reserves the right to amend the Terms for important reasons, in particular in the event of changes in legal provisions, changes in how the Application functions, organizational changes to the Program, or changes to the price list.
The Organizer will inform the Partner of planned amendments to the Terms electronically, to the email address indicated in the registration form, at least 14 days before the amendments enter into force.
A Partner who does not accept the amendments to the Terms has the right to terminate the agreement within 14 days of receiving information about the amendments. After this period, the Partner is deemed to have accepted the amendments.
Final provisions
The agreement is concluded for an indefinite period.
The Organizer is liable to the Partner only up to the value of the remuneration due to the Partner in the given month of the Program's operation. The Organizer's liability in the remaining scope is excluded to the fullest extent permitted by law.
In matters not regulated by the Terms, the provisions of Polish law apply, in particular the Civil Code.
The Parties undertake to resolve any disputes arising from participation in the Program amicably in the first instance. If this is not possible, disputes will be submitted for resolution by the court having subject-matter jurisdiction over the Organizer's registered office.
These Terms enter into force on 14 July 2026.
